    Angela Merkel when she took office which inspires me to actively seek winning strategies and tailor made corporate and transaction structures for our clients There is an interesting tension hidden within this sentence Obviously companies do not make new strategies on a weekly or even yearly basis Once you have opted for a particular strategy or structure however it would be unrealistic to regard it as a permanently valid one My strength lies in dealing with this area of tension dealing with it promptly taking into consideration past strategies and an organisation s culture anticipating market and other developments and supervising our clients in making and implementing the right choices using an up to date analysis About ten years ago a lawyer introduced us to one of his business relations who at the time was having to deal with a complex issue We drew up a proposal and were given the go ahead to implement it it was a success Some time later when the opportunity arose I asked the lawyer why he had recommended JBR He did not have to think about his answer for long I once saw JBR give all it was worth for one of its clients I consider that to be a consultant s duty and JBR has proved that it stands by this view The issue at hand was a complex restructuring With all due modesty I think that the lawyer did the right thing in recommending us I know from my colleagues and myself that we do not avoid challenges that we do all we can to carry out our given task and that we do everything in our power to support our clients in achieving their intended objectives All of this stems from our ambition to push existing limits boundaries E mail

    Caspar van der Geest Partner Corporate Finance How much is my company worth This is a question that our clients ask on a regular basis and the striking thing is people tend to expect that the skills of a mathematician someone who is good with figures is required in order to answer that question Figures are of course important but it takes more than just arithmetic to value a company The value of a company is dependent on many factors such as its position in the market the distinctive character of its products and services its growth perspective dependence on suppliers and clients and the quality of its management In addition to the financial aspects of company valuation knowledge of the market and the organisation is also important JBR offers a solid combination of strategy and finance and I personally am particularly interested in these two areas of the profession Over the last six years I have been involved with many sales and acquisition projects including not only valuation activities but also finding the right party and supervising and coordinating the entire project I have a lot of specific experience with transactions in the installation industry media food agriculture and healthcare each sector having its own dynamics and ratios I graduated in Economics and Business Economics at Rotterdam s Erasmus University in 2004 Having completed my thesis in Management Organisation I wanted to gain a better understanding of the statistical side of business economics which resulted in me successfully completing a specialised programme in financial economics I am able to use my expertise in both of these areas to help our clients at JBR and really wanting to provide solutions that meet our client s needs is one of my primary motivations Clients can count on me when it comes

    made use of its worldwide network in the maritime sector and eventually found an international tugboat operator that was interested in the possibility of acquiring the tugboats for its own operations in Argentina Subsequent talks led to the conclusion that this Argentinian subsidiary was unable to purchase all the tugboats primarily due to competition considerations At the same time it would have been difficult to export all or some the tugboats since acquiring export licenses would have been a Herculean task due to issues such as bureaucracy and the need to flag the boats It was for this reason that a second potential buyer was sought and found The transaction required a sound legal and fiscal analysis to be carried out in order to meet Argentinian legislation including the legal obligation to retain various owed taxes from the buyer beforehand In order to limit risk such as that posed by exchange rates the transaction was made in dollars with payment partly in cash and partly through an Escrow account at a bank in New York where the release of funds depended on the realisation and progress of the necessary paperwork this included the renewed registration of the boats and the change in name Customer s dilemma How to terminate SMIT s activities in Argentina View the transaction Our contribution The entire transaction was managed and supervised by JBR with assistance from locally based legal and fiscal experts The results All the tugboats were eventually sold together as individual transactions based on sales and purchase agreements together with the accompanying relevant documentation All the boats with the exception of one for which a legal deadline must first be passed are now fully operational with their respective new owners The transaction was completed to the full satisfaction of all parties involved Home
