    he structure the transaction and finance the buy in Our contribution We had several rounds of negotiations with the seller which resulted in a balance document that enabled our client to first become a manager for one year before allowing all parties to jointly decide whether he would proceed as a shareholder through a phased buy in over a period of several years All major milestones of this buy in were negotiated before our client began working as a director At the end of the first year all parties agreed that our client would purchase the first batch of shares resulting in the need to obtain financing for not only the first part of the buy in but also all subsequent share purchases JBR compiled a professional financing memorandum detailing the business of the company the deal structure the need for financing and the cash flow prognoses to support future earning capacity After several rounds of negotiations our client obtained a loan at competitive rates matching the cash flow needs for the years to come The results The assignment resulted in a balanced deal structure a value adding price paid for the shares acquired and an acquisition loan at competitive

    after one of the Dutch shareholders discovered the brand the products were also brought to Europe for the first time Paula s Choice Europe BV started as an exclusive distributor for the Netherlands Now ten years later the company Paula s Choice Europe BV is generating sales in several countries throughout Europe and is showing strong growth across the board Customer s dilemma Early 2014 the American mother company put out the first signals that it would like to obtain a stake in the European business in order to align its interests and tighten the relationship At this point the shareholders of Paula s Choice Europe BV engaged the services of JBR to support them in this process in which the good relationship between the two companies was of course paramount View the transaction Our contribution JBR has advised the shareholders during the entire process from the initial shareholder perspective all the way through the closing of the eventual transaction The results As a result of the process as per March 2015 a Joint Venture between the shareholders and Paula s Choice LLC was established Both parties are very satisfied with the outcome of this transaction and are currently building

    not been taken the future of this sustainable company would have been bleak Together with its financer we were asked to screen the company and to work out the possible options for the future Our contribution We made a comparison between the original assumptions in the sustainable plan and the actual results We also held talks with the management team and other involved parties in order to assess these assumptions By examining as an independent outsider with knowledge of the sector the situation that had developed we could relatively quickly determine where the bottlenecks were and how these could be overcome The results After the quick scan had been done the causes of the current situation were clear as was the solution for making the company profitable again We also gained a clear picture of the measures required to generate adequate long term profits that would provide both the financers and the owners with acceptable returns The moral of the story is that investing in sustainability can pay off but that a sound and comprehensive business case is essential This requires not only a focus on sustainable entrepreneurship but also being constantly aware of the financial and organisational consequences of
